In short: We manage your paid advertising for a flat monthly fee. Your ad spend is paid directly to Google or Meta. There are no long-term contracts, and you keep ownership of your ad accounts. We work hard to get you results, but no one can guarantee specific advertising outcomes.
1. About these terms
These Terms of Service ("Terms") govern your use of www.innovistatech.ca (the "Website") and the digital marketing services provided by InnoVista Tech ("InnoVista Tech", "we", "us" or "our"), a business based in Toronto, Ontario, Canada. By using the Website or engaging our services, you ("you" or "Client") agree to these Terms. If you sign a separate written agreement or proposal with us, that document takes priority over these Terms where they differ.
2. Our services
We provide management of paid advertising campaigns on Google Ads, Facebook Ads and Instagram Ads, which may include strategy, campaign setup, keyword and audience research, ad creative, A/B testing, retargeting, optimization and performance reporting. The specific services you receive depend on the plan you choose, as described on our pricing section or in your proposal.
3. Plans, fees and payment
- Management fees. Our plans are charged as a monthly management fee in Canadian dollars (CAD), billed in advance at the start of each billing period. Applicable taxes, such as HST, are extra.
- Ad spend is separate. Your advertising budget ("ad spend") is paid directly by you to the advertising platforms (such as Google or Meta) and is not included in our management fee.
- Ad spend limits. Each plan covers management of ad spend up to the amount stated for that plan. If your ad spend regularly exceeds your plan's limit, we will discuss moving you to a more suitable plan.
- Promotions. Introductory offers (for example, a discount on the first month for new clients) apply only as stated, cannot be combined unless we say so, and may be changed or withdrawn at any time.
- Late payment. If a payment is overdue, we may pause work on your campaigns until the account is brought up to date.
- Price changes. We may change our fees with at least 30 days' written notice before the change takes effect.
4. No long-term contracts and cancellation
Our plans are month-to-month. You may cancel at any time by emailing info@innovistatech.ca. Cancellation takes effect at the end of your current billing period, and fees already paid for that period are not refundable. We may end our services with 30 days' written notice, or immediately if you seriously breach these Terms.
5. Your responsibilities
- Provide accurate information about your business and respond to our requests for information and approvals in a timely way.
- Give us the access we need to your advertising accounts, website and tracking tools.
- Make sure that your products, services, website and any materials you supply (such as logos, images and text) are lawful, that you have the rights to use them, and that they comply with the advertising policies of Google and Meta.
- Keep a valid payment method on file with each advertising platform you use.
6. Ad accounts and ownership
You own your advertising accounts, campaign data and the materials you provide to us. Once you have paid for the relevant period, you may use the ad copy and creative we produce for your campaigns. We keep ownership of our own methods, templates, tools and know-how, and we may describe the general nature of our work for you in our marketing unless you ask us not to. When our services end, we will remove our access to your accounts on request.
7. Advertising platforms
Google, Meta and other platforms are independent third parties. They set their own policies, prices, ad approval decisions and algorithms, and may change them at any time. We are not responsible for ad disapprovals, account suspensions, outages, cost changes or other actions taken by these platforms, although we will help you resolve issues where we can.
8. Results
Advertising results depend on many factors outside our control, including your industry, competition, budget, offer, website and market conditions. Any figures shown on the Website, such as average return on investment or client results, describe past performance and are not a promise of future results. We do not guarantee any specific number of leads, sales, rankings or return on ad spend.
9. Confidentiality
Each of us will keep confidential any non-public business information received from the other and use it only to perform or receive the services, unless disclosure is required by law. Our handling of personal information is described in our Privacy Policy.
10. Use of the Website
The content of the Website, including text, graphics, logos and design, belongs to InnoVista Tech or its licensors and is protected by copyright and trademark laws. You may view and share it for personal or internal business purposes, but you may not copy, modify or use it commercially without our permission. You agree not to misuse the Website, interfere with its operation, or attempt to gain unauthorized access to it. Links to third-party websites are provided for convenience; we are not responsible for their content.
11. Disclaimer
The Website and its content are provided "as is" for general information. To the extent permitted by law, we make no warranties of any kind, express or implied, about the Website or the results of our services, beyond what is set out in these Terms.
12. Limitation of liability
To the extent permitted by law, InnoVista Tech will not be liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, data or ad spend. Our total liability for any claim relating to the Website or our services will not exceed the management fees you paid us in the three (3) months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold InnoVista Tech harmless from claims, losses and costs (including reasonable legal fees) arising from the materials you provide, your products or services, or your breach of these Terms or of any law or advertising platform policy.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and we agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.
15. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top shows when they were last changed. For active clients, material changes take effect 30 days after we notify you by email. Continuing to use the Website or our services after that means you accept the updated Terms.
